Course Description

American corporate law has evolved through a series of legal innovations, from the general incorporation laws of the nineteenth century to recent inventions such as SPACs and the universal proxy. Corporate lawyers are the protagonists in this history, designing new legal tools to address business challenges and, in the process, shaping the path of corporate law’s development. This short course will explore a historical sequence of important innovations in the design of corporate law, emphasizing the creativity that drives the field.

Description: Students will submit four graded written assignments and take a short final examination. The exam will be available for checkout from SRO and must be completed during business hours at the Law School from April 3rd to April 12th.
