Course Description

This course is a basic component of the business law curriculum. It covers the agency relationship and its consequences, focusing on such topics as contractual authority, vicarious liability, and fiduciary obligation. The course also serves as an introduction to the primary noncorporate business organizational forms involving co-ownership, including general partnership, limited liability partnerships (LLPs), and limited liability companies (LLCs). Because lawyers are agents of their clients and many lawyers practice in one of these types of business organizations, this course will be useful for most lawyers. The course also provides future transactional lawyers with the basic tools necessary to help clients structure their affairs to achieve their business goals, including minimizing unwanted liability. The course will also be useful for lawyers who plan to engage in business litigation.
