Course Description

This course explores the legal and regulatory structures affecting foreign investors seeking to participate in the development of so-called "emerging markets." Topics include: corruption and money laundering, sanctions compliance, liability for human rights abuses, forms of foreign investment and commercial transactions, local accreditation, taxation, the privatization process, intellectual property protection, import-export regulations, currency controls, project and conventional financing, banking, the development and regulation of capital markets, securities and commodities exchanges, financing, and environmental protection. The core of the seminar will be based on an actual investment project involving the development of energy resources in Kenya. There will be several simulated negotiation exercises.
